This Agreement is entered into between Brook Wright (“Author”) and the undersigned Marketing Representative (“Representative”) as of the date of acceptance.
 

1. Scope of Work

The Representative agrees to provide marketing and promotional services for the Author’s work, including but not limited to:

• Social media promotion

• Campaign planning and execution

• Content creation (graphics, captions, videos, etc.)

• Audience engagement strategies

• Launch and promotional support

All services must be approved by the Author prior to execution.
 

2. Independent Contractor Status

The Representative is an independent contractor and not an employee.

Nothing in this agreement creates a partnership, joint venture, or employment relationship.
 

3. Approval & Brand Control (CRITICAL)

The Author retains full control over all branding, messaging, and public representation.

The Representative agrees:

• Not to post, publish, or distribute content without prior approval (unless explicitly authorized)

• Not to speak on behalf of the Author without permission

• To follow the Author’s brand voice, tone, and direction at all times
   

4. Confidentiality

The Representative may have access to confidential information, including:

• Unpublished manuscripts

• Marketing strategies and plans

• Financial information

• Release schedules

The Representative agrees not to disclose, share, or use this information outside the scope of their role.

This obligation remains in effect indefinitely.
 

5. Intellectual Property

All content created for the Author (including graphics, captions, videos, and campaigns):

• Becomes the sole property of the Author upon creation or payment (if applicable)

• May be used, modified, or redistributed by the Author at any time

The Representative retains no ownership rights to the final materials.
 

6. Account Access & Security

If access to social media or platforms is granted:

• The Representative must not change passwords or account ownership details

• Must not lock the Author out of accounts

• Must maintain confidentiality of login information

• Access may be revoked at any time
  
  7. Payment Terms (If Applicable)

Open to discussion

Examples:

• Flat fee: $____ per project/month

• Commission: ____% of tracked sales directly resulting from campaigns

• Payment schedule: __________________

The Author reserves the right to withhold payment in cases of contract breach or failure to deliver agreed services.
 

8. Performance Expectations

The Representative agrees to:

• Meet agreed deadlines

• Communicate regularly and professionally

• Provide updates and reports when requested

Failure to perform may result in termination.
 

9. Non-Disparagement

The Representative agrees not to:

• Publicly or privately make negative statements about the Author, their work, or their brand

• Engage in behavior that could harm the Author’s reputation
   

10. Non-Compete / Conflict of Interest (Optional but Strong)

During the term of this agreement, the Representative agrees not to:

• Promote directly competing authors in the same niche without disclosure and approval

• Use the Author’s strategies or materials for competing brands
   

11. Termination

The Author may terminate this agreement at any time, with or without cause.

Upon termination:

• All access to accounts must be immediately returned

• All materials and confidential information must be deleted or returned

• Any unfinished work must be submitted
   

12. No Guarantees

The Representative understands that:

• Marketing efforts do not guarantee sales, rankings, or specific results

• Payment is for services rendered, not outcomes
   

13. Legal Protection

Any misuse of the Author’s work, brand, or accounts—including unauthorized access, distribution, or misrepresentation—may result in legal action.
 

14. Agreement Acceptance

By signing below, the Representative confirms they have read, understood, and agreed to all terms outlined in this agreement.
